Terms of Service

1. Acceptance of Terms
By accessing or using Loanly ("the Service"), operated by Sync Wave Analytics ("we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. These terms apply to all users including bank administrators, loan officers, underwriters, and borrowers.
2. Description of Service
Loanly is a commercial loan origination platform that provides pipeline management, document management, underwriting tools, borrower portals, and reporting capabilities for financial institutions. The Service is provided on a software-as-a-service (SaaS) basis.
3. Account Registration
You must register for an account to use the Service. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. You are responsible for safeguarding your password and for all activities that occur under your account. Notify us immediately of any unauthorized use of your account.
4. Acceptable Use
You agree not to: (a) use the Service for any unlawful purpose; (b) attempt to gain unauthorized access to any part of the Service; (c) interfere with or disrupt the Service; (d) upload malicious code or content; (e) use the Service to process loans in violation of applicable lending laws; (f) share account credentials with unauthorized parties.
5. Data Ownership
You retain ownership of all data you submit to the Service ("Customer Data"). We do not claim ownership of Customer Data. You grant us a limited license to use Customer Data solely to provide and improve the Service. We will not sell, share, or use Customer Data for purposes unrelated to providing the Service.
6. Financial Data & Compliance
The Service is designed to assist with commercial loan origination workflows. It does not provide financial advice, credit decisions, or regulatory compliance determinations. You are solely responsible for ensuring your use of the Service complies with all applicable federal, state, and local lending regulations including but not limited to ECOA, HMDA, BSA/AML, and state lending laws.
7. Service Availability
We strive to maintain 99.9% uptime but do not guarantee uninterrupted access. We may perform scheduled maintenance with advance notice. We are not liable for any loss or damage resulting from service interruptions, delays, or errors.
8. Fees and Payment
Fees for the Service are as set forth in your subscription agreement. All fees are non-refundable unless otherwise stated. We reserve the right to modify fees with 30 days' written notice. Failure to pay may result in suspension or termination of your account.
9. Termination
Either party may terminate this agreement with 30 days' written notice. We may suspend or terminate your account immediately if you violate these Terms. Upon termination, you may request export of your Customer Data within 30 days, after which we may delete it.
10. Limitation of Liability
To the maximum extent permitted by law, Sync Wave Analytics shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities. Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim.
11. Indemnification
You agree to indemnify and hold harmless Sync Wave Analytics from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any applicable law or regulation.
12. Changes to Terms
We may update these Terms at any time. We will notify you of material changes via email or in-app notification at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts located in Cook County, Illinois.
